Required Skills: •Prepare entity governance documents such as but not limited to: consents, resolutions, minutes, extracts, POAs, intercompany agreements, organizational charts and formation documents; officer and director onboarding and offboarding and processing other statutory filings and registrations. •Lead annual general meetings and board meetings as well as prepare notices, materials, and/or agendas as needed. •Draft authority and verification certificates. •Respond to regulatory inquiries, audits and third-party requests for information. •Accurately maintain and improve records and databases including minute book maintenance. •Monitor and calendar compliance deadlines, annual meeting requirements, and key governance events across jurisdictions to detect, resolve, and prevent compliance deficiencies and regulatory risks. •Attend cross-functional entity project meetings. •Support formations, dissolutions, mergers and acquisitions.
