Required Skills: •North Road is seeking an experienced Senior Corporate Counsel to join its legal team and advise on a broad range of corporate and transactional matters across North Road and its subsidiaries. •This role is based in Playa Vista, CA and is expected to work in the office at least 4 days per week. •Advise on M&A transactions, investments, joint ventures, partnerships, financings, and other corporate transactions. Manage transactions from inception through closing, including diligence, drafting and negotiating transaction documents, coordinating outside counsel, and supporting post-closing matters. •Advise on corporate governance matters, including entity formation and maintenance, organizational documents, corporate records, and related legal administration. •Draft and negotiate executive employment agreements, offer letters, consulting agreements, incentive documents, separation agreements, and other employment-related documents in coordination with the People team. •Draft and negotiate commercial agreements, including NDAs, vendor and services agreements, consulting agreements, and license agreements. •Actively facilitate and support Company’s legal compliance function, including advising on compliance with applicable laws and regulations. •Advise on data protection and privacy matters, including data processing, data sharing and vendor terms, participant and talent data, cross-border transfers, incident response, and compliance with applicable privacy laws. Qualifications: •J.D. from an accredited law school and active membership in good standing with the State Bar of California. •Strong drafting and negotiation skills and experience working on complex transaction documents. •In-depth knowledge of corporate governance and general corporate law. •Strong written and verbal communication skills, with the ability to explain legal issues clearly and concisely. •Highly organized, detail-oriented, and able to manage multiple matters and deadlines. •Demonstrated capacity to identify legal risks, exercise sound judgment, and provide practical recommendations. •Demonstrated capacity to handle confidential and sensitive information appropriately. •Practical and solutions-oriented, with strong legal judgment and the ability to assess risk effectively. •Proactive, resourceful, and comfortable working independently. •Collaborative and effective working with executives, business teams, subsidiaries, the HR & Finance teams, and outside counsel.
