Hiring: Manager, Corporate Governance Company: Versant Media Location: New York, NY Job Posted Time: 2026-09-16 12:15:42 Employment Type: Hybrid Target Skills & Keywords : Asana About the job Required Skills: •The successful candidate is highly organized, exceptionally detail-oriented, collaborative, and comfortable managing a substantial volume of time-sensitive work across multiple priorities. •Actively facilitate and support Corporate Secretary and Corporate Affairs team on Board of Directors, committees, and general corporate governance matters, while helping promote consistent, efficient, and well-organized governance practices. •Coordinate Board and committee meeting logistics, calendars, agendas, materials, approvals, and follow-up actions. •Prepare, circulate, and maintain Board and committee materials, minutes, written consents, resolutions, secretary’s certificates, incumbency certificates, and related governance records. •Coordinate annual director and officer questionnaires and Board evaluations; analyze responses and support related disclosure and governance processes. •Assist with director appointments, elections, annual consents, dividend approvals, share repurchases, officer appointments, and other corporate actions. •Actively facilitate and support planning and execution of the annual meeting of shareholders, including proxy-related materials and beneficial ownership tables. •Legal Entity Management and Corporate Transactions Qualifications: •Bachelor’s degree required. •At least six (6) years of experience managing corporate governance and legal entity matters within the in-house legal department of a public company. •Demonstrated experience supporting Boards of Directors, senior management, and public-company governance processes. •Proficiency with SEC, corporate governance, entity management, disclosure, and business productivity systems and tools, including EDGAR Filer Management, Diligent Board, Diligent Entity Management, Workiva, Outlook, Word, and Asana. •Exceptional attention to detail and a demonstrated ability to produce accurate, polished work in a fast-paced environment. •Strong organizational and project-management skills, with the ability to manage a large volume of work, multiple competing priorities, and time-sensitive deadlines. •Collaborative, responsive, and relationship-oriented, with the ability to work effectively across Legal, Finance, Tax, Treasury, Corporate Development, and other internal teams, as well as with external advisors. •Excellent written and verbal communication skills. •Independent, resourceful self-starter with sound judgment, a strong work ethic, and the ability to follow through on complex projects. •Demonstrated interest in continuous process improvement, technology adoption, and practical AI-enabled workflow enhancements.
