Required Skills: •Ensure that the Company conducts its business in compliance with applicable SEC laws and regulations and NYSE rules; manage Sarbanes-Oxley and 1934 Act compliance and reports (10-Ks, 10-Qs, 8-Ks and proxy statements). •Work closely with Chief Financial Officer, Investor Relations, Marketing department, and other members of the Legal team on earnings releases, analyst/investor conferences, disclosure issues, shareholder proposals, press releases, and other corporate communications. •Keep abreast of ongoing governance and provide support on Board activities, including the drafting, preparation and review of Board of Director meeting materials and preparation of meeting minutes. •Provide legal advice, opinions and solutions regarding issues and risks relating to the on-going and expanding business into international markets. •Actively facilitate and support stock administration department on equity matters and employee education, including legal support of the trading window. Assist in the preparation and review of Section 16 filings. •Assist in oversight of maintenance of all foreign and domestic subsidiaries. •Stay up-to-date and keep Legal team advised on external governance trends, SEC issues, general legal issues and best practices. Qualifications: •Minimum 10 years of directly related work experience with a bachelor’s and associated Law degree from an accredited law school required, with at least 5 years at a law firm.
