Required Skills: •Manage and prepare a wide range of corporate records, including board and shareholder approvals, written consents, meeting minutes, resolutions, certificates, organizational documents, and other governance materials. •Provide legal guidance regarding governance requirements for domestic and international subsidiaries, taking into account applicable corporate statutes, regulations, and local requirements. •Draft and maintain officer appointment documentation, powers of attorney, certificates of incumbency, and other entity-related authorizations. •Interface directly with registered agents, corporate service providers, and other outside vendors to secure corporate certificates, filings, records, and evidence of good standing. •Help establish and refine governance procedures, controls, and policies as the organization’s legal and regulatory requirements evolve. •Assist with entity-related corporate actions, including new entity formations, reorganizations, mergers, dissolutions, and other structural changes, ensuring accurate and timely updates to entity management records. •Support subsidiary compliance activities, including KYC and due diligence requests, regulatory matters, audits, information requests, and other entity-related inquiries. •Coordinate the legal aspects of board and committee meetings, including preparation of agendas, meeting materials, resolutions, minutes, approvals, and follow-up items. Qualifications: •J.D. from an accredited law school. •Admission to a U.S. state bar is preferred. •Approximately 3–7 years of relevant experience in corporate law, corporate governance, entity management, or a related legal discipline, gained in-house or at a law firm. •Demonstrated experience working with multinational organizations and complex subsidiary structures. •Strong knowledge of corporate governance practices, entity administration, and the corporate lifecycle. •Excellent legal drafting, research, analytical, and problem-solving abilities. •Strong organizational skills and the ability to effectively manage competing deadlines in a dynamic environment. •Sound legal judgment with strong written and verbal communication skills. •Proficiency with Microsoft Office, particularly Word and Excel.
