As Anthropic continues to scale, we need an M&A attorney who can drive strategic transactions, including acquisitions, acquihires, minority investments, joint ventures, and other structured deals, from initial diligence through execution and post-closing integration, and help us build the playbooks and processes to do it repeatably. •You will work closely with our Legal, Corporate Development, Finance, Accounting, and executive teams to execute transactions that support Anthropic's mission and growth objectives. •Key Responsibilities •Lead legal workstreams on M&A transactions — acquisitions, acquihires, minority investments, joint ventures, and other strategic transactions — from due diligence through closing and post-closing integration •Draft, review, and negotiate transaction documents including letters of intent, purchase agreements, ancillary agreements, and related closing documentation •Manage and coordinate due diligence, including oversight of cross-functional workstreams and third-party advisors •Provide practical counsel on deal structuring, risk allocation, purchase price mechanics, indemnification, and other key transaction terms •Prepare materials for executive leadership (and, as needed, the Board) on transaction matters •Manage outside counsel relationships on transactions, including staffing, budgets, and work-product quality •Represent Legal on post-closing integration, working cross-functionally to ensure smooth transitions •Develop and maintain standardized processes, playbooks, and template documents that drive efficiency and best practices across M&A transactions •Support other corporate matters as needed Qualifications: •A JD from an accredited law school and active membership in at least one U.S. state bar •Experience drafting and negotiating M&A transaction documents, including letters of intent, purchase agreements, and ancillary closing documentation •A deep understanding of transaction structures, including stock purchases, asset purchases, mergers, acquihires, minority investments, and joint ventures •Experience with both domestic and cross-border transactions •Experience advising technology companies and startups on the unique legal issues they present •Preferred Qualifications •At least 5-8 years of M&A legal experience at a nationally recognized law firm and/or in-house at a high-growth technology company •Experience with public company securities law compliance and SEC reporting •Experience with equity compensation matters in the deal context •Experience with AI, machine learning, or other emerging technology companies •Experience building M&A playbooks, templates, or processes on a lean team •Exceptional analytical, drafting, negotiation, and communication skills, with the ability to translate complex legal issues into clear, practical advice •Ability to thrive in a fast-paced, dynamic environment and manage multiple transactions and priorities simultaneously •An independent self-starter who can drive projects forward with minimal supervision, and collaborate effectively with internal and Interested candidates, please apply directly through the job posting on company's career page or try via AI auto apply on this platform.
