Required Skills: •S&P Global is seeking an Associate General Counsel - Corporate Governance & •Advise on corporate governance matters and compliance with U.S. securities laws, SEC regulations, NYSE requirements, and other public company obligations. •Lead and assist in the preparation, review, and filing of periodic and current SEC reports, including Forms 10-K, 10-Q, and 8-K, proxy statements, and other public disclosures. •Lead complex projects, capital markets transactions, financing matters, treasury matters, and other strategic corporate initiatives independently from start to finish, including issue-spotting, execution planning, stakeholder coordination, progress tracking, and delivery of results. •Work cross-functionally with Finance, Investor Relations, Treasury, Human Resources, Compliance, Tax, Communications, and other functions to drive execution, resolve issues, track progress, and ensure successful outcomes across governance, disclosure, capital markets, and public company matters. •Maintain strong organization and operational discipline across workstreams, including managing timelines, tracking deliverables, coordinating stakeholders, and ensuring follow-through on key decisions and outcomes. •Assist in the review of earnings materials, investor presentations, press releases, and other stockholder and public communications. •Assist in the preparation and execution of the annual corporate governance calendar, including Board and committee meetings, resolutions, agendas, and materials. Qualifications: •Highly organized and execution-oriented, with the ability to combine strong legal knowledge and operational expertise to manage multiple priorities, track deliverables, coordinate stakeholders, and drive results. •Excellent cross-functional collaboration skills, with the ability to work effectively across Legal, Finance, Investor Relations, Treasury, Communications, and other functions to execute priorities, solve problems, and deliver successful outcomes. •J.D. or LL.M. from an accredited law school and active bar membership in New York. •Significant experience advising senior executives, audit committees, and boards of directors on corporate governance, securities law, disclosure, financing transactions, and strategic corporate matters. •Demonstrated ability to manage a team effectively, including prioritizing goals, delegating responsibilities, staying on top of execution, and working cross-functionally to drive results. •Strong business judgment, proactive issue-spotting skills, and the ability to identify and address legal and business risks before they become problems. •This role is limited to persons with indefinite right to work in the United States. •Have you taken time out for caring responsibilities and are now looking to return to work?
